SAP SE (NYSE: SAP) and WalkMe Ltd. (NASDAQ: WKME) have reached an agreement for SAP to acquire WalkMe, a leader in digital adoption platforms (DAPs), for $14.00 per share in an all-cash transaction valued at approximately $1.5 billion. This offer represents a 45% premium on WalkMe's last closing price. The acquisition aims to enhance SAP's customer experience and expand its Business AI offerings, aligning with its Business Transformation Management portfolio, including SAP Signavio and SAP LeanIX solutions.

The deal has been approved by the Executive and Supervisory Boards of SAP and the board of directors of WalkMe. WalkMe will continue to support non-SAP applications and will introduce the WalkMe X copilot, which utilizes AI to suggest optimal next steps for users. The transaction is subject to customary closing conditions and is expected to close in the third quarter of 2024. The impact on SAP's non-IFRS earnings per share for fiscal 2024 is anticipated to be minimal.
